GoTo Promotional Offer Terms
These Promotional Offer Terms ("Promotional Terms") govern participation in promotional offers made available by the applicable GoTo contracting entity identified at https://www.goto.com/company/legal/contracting-entities ("GoTo," "we," "us," or "our") relating to GoTo products and services (the "Services"). A "Promotion" means any promotional offer, benefit, discount, code, or credit made available by or on behalf of GoTo in connection with the Services, including, without limitation, promotional discounts, sales, coupons, introductory offers, free service periods, feature access, trial offers, credits, and discounted hardware. These Promotional Terms do not apply to sweepstakes, contests, or other prize promotions or games of chance, which are governed solely by their own official rules. All capitalized terms not defined herein have the meanings set forth in the GoTo Terms of Service, which are incorporated herein by reference.
1. Acceptance of Terms
By accessing, participating in, redeeming, claiming, receiving, or using a Promotion, you agree to these Promotional Terms, the applicable GoTo Terms of Service, and any additional terms stated in the applicable promotional materials (collectively, the "Applicable Terms").
If there is a conflict between these Promotional Terms and the promotional materials for a specific Promotion, the promotional materials will control solely with respect to that Promotion and only to the extent of the conflict. In all other respects, these Promotional Terms and the GoTo Terms of Service will govern, in that order.
2. Eligibility
Promotions may be offered only to eligible customers as determined by GoTo in its sole discretion. Eligibility may be limited based on factors such as account type, geography, billing status, payment method, product usage, organization size, subscription plan, customer history, service availability, type of Service, whether the customer is a new or existing customer, or other customer segments identified in the applicable promotional materials. Unless otherwise expressly stated, Promotions are available only to customers purchasing directly from GoTo and do not apply to Services purchased through a reseller, distributor, or other channel partner. Promotions made available to GoTo partners are governed by the GoTo Partner Network Terms.
Unless otherwise expressly stated:
- Promotions may be limited to one per customer, account, organization, household, payment method, or billing relationship; and
- Promotions may not be combined with other discounts, credits, rebates, or offers;
- Promotions do not apply retroactively to prior billing periods; and
- Promotions are void where prohibited or restricted by applicable law.
GoTo reserves the right to verify eligibility and deny participation in any Promotion where eligibility requirements are not satisfied or where a Promotion was obtained through error, abuse, fraud, or unauthorized means.
3. Paid Subscription Requirement
Unless otherwise expressly stated in the applicable Promotion, promotional access is available only while the customer maintains an active paid subscription for the applicable Services.
GoTo may suspend, revoke, or terminate promotional benefits if:
- the applicable subscription expires, terminates, or is cancelled;
- payment fails;
- the account becomes delinquent;
- the subscription is downgraded; or
- the account is not in good standing.
This requirement does not apply to Promotions that expressly do not require a paid subscription, such as certain trial or limited access offers.
Promotions that include discounted, subsidized, or no-cost hardware or equipment remain subject to the equipment terms set forth in the applicable Service Description. No Promotion waives, reduces, or otherwise modifies those terms, and early termination or cancellation may result in additional charges for that hardware as determined by GoTo in its sole discretion.
4. Promotional Restrictions and Limitations
Promotions have no cash value, create no stand-alone entitlement, and may not be redeemed for cash, credit, or refunds except where required by applicable law. Promotions are non-transferable and may not be sold, assigned, sublicensed, exchanged, or otherwise transferred. A Promotion does not modify the applicable Service Description, support entitlements, or any service level commitment, and does not entitle a customer to any feature, capacity, credit allotment, usage limit, consumption rate, or Service tier beyond that expressly stated in the applicable promotional materials.
Customers may not use any Promotion or the underlying Services in connection with the Promotion in any manner that violates the GoTo Terms of Service or any policies, guidelines, or requirements incorporated therein by reference.
5. Promotional Period and Charges
All Promotions are temporary and time-limited, and every Promotion will expire. Each Promotion will be available only for the period specified in the applicable promotional communication or offer description (the "Promotional Period"). A Promotion expires in accordance with its stated terms. If no expiration period is specified, an unclaimed Promotion will expire thirty (30) days after it is made available or, for Promotions advertised as available for a "limited time," when the Promotion is discontinued by GoTo.
If a cancellation period or cancellation deadline applies, you must cancel before the applicable deadline to avoid charges. Unless otherwise expressly stated, after the Promotional Period expires, or if you fail to cancel within any applicable cancellation period, continued provisioning, access to, or use of the applicable Services will be subject to the fees and charges stated in the applicable promotional materials or, if not stated, GoTo's then-current fees and charges, which may be charged to the payment method associated with your account.
Unless otherwise expressly stated:
- taxes, regulatory fees, surcharges, usage charges, and other applicable fees remain the customer's responsibility; and
- discounts apply only to eligible fees and not to taxes or third-party charges.
Customers are responsible for reviewing the pricing, billing frequency, renewal terms, and cancellation procedures applicable to the Services. Unless otherwise expressly stated, promotional pricing applies only during the Promotional Period, after which you will be billed at GoTo's then-current standard rates for the applicable Services.
Customers are solely responsible for configuring and maintaining account settings, permissions, and usage controls to prevent unauthorized provisioning, access, overages, or use of the Services that may result in additional charges.
6. Modifications or Termination of Promotions
GoTo reserves the right, in its sole discretion and to the maximum extent permitted by law, to modify, suspend, discontinue, terminate, or restrict any Promotion at any time, including where necessary to address misuse, fraud, technical issues, pricing or typographical errors, unauthorized publication, operational limitations, or changes in business circumstances.
GoTo reserves the right to correct typographical, pricing, technical, administrative, or other errors in any Promotion or related materials.
7. Changes to These Promotional Terms
We may update these Promotional Terms from time to time, which will be identified by the "Last Updated" date. Your continued participation in or redemption of a Promotion, or continued access to or use of the applicable Services, constitutes your acceptance of the then-current Promotional Terms.
